Terms of Service

Effective: April 17, 2026

These Terms of Service ("Terms") govern your use of the Finn platform, including the website at finnapp.ca, the Finn mobile application, and all related services (collectively, the "Platform"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

Section 1

The Platform

Finn is a technology platform that connects homeowners with contractors, subcontractors, and design professionals ("Service Providers") for residential construction and renovation projects. Finn provides tools including AI-powered estimate generation, project management, messaging, invoicing, and payment tracking.

Finn is not a contractor, designer, or construction company. We do not perform construction work, provide design services, or employ Service Providers. Finn facilitates connections and provides tools to manage projects.

Finn is operated by Finn Technologies Inc. ("Finn", "we", "us", "our"), based in Ontario, Canada.

Section 2

Account Types

Homeowner Accounts

Homeowners use the Platform to generate project estimates, find and connect with Service Providers, communicate about projects, and track payments and project progress. Homeowner accounts are free. Homeowners are never charged a platform fee.

Service Provider Accounts

Contractors, subcontractors, designers, and architects use the Platform to receive project leads, review and adjust estimates, communicate with homeowners, manage invoicing, and track payments. Service Provider accounts are free to create and are subject to the 5% Service Fee described in Section 5.

Eligibility

To use Finn, you must:

We reserve the right to verify your identity, business registration, and licensing status at any time. Accounts found to contain fraudulent or materially inaccurate information may be suspended or terminated.

How Finn Works

Estimate Generation

Homeowners describe their project and upload photos or drawings. Finn's AI generates a detailed estimate based on current market pricing, material costs, and labour rates. This estimate is for informational purposes only and does not constitute a binding quote. See Section 9 for full AI disclaimers.

Service Provider Matching

Finn identifies Service Providers that may be suitable based on location, trade specialization, service radius, project size preferences, and capacity. Finn may use publicly available information, including Google Business data, to identify and present Service Providers. Matching does not constitute a recommendation, endorsement, or guarantee of any provider's quality, reliability, or suitability.

Quoting

Matched Service Providers may review the homeowner's estimate, adjust scope and pricing, and submit their own quote. The Service Provider's quote, once accepted by the homeowner, forms the basis of the agreement between the homeowner and Service Provider.

Contract

Finn provides tools to generate a contract between the homeowner and Service Provider. The contract is between those two parties — Finn is not a party to the contract.

Communication

All project-related communication should occur through Finn's messaging system. Messages are stored for the protection of all parties and may be used in dispute resolution (see Section 7).

Payment Tracking

Payments are tracked through Finn's invoicing system according to the agreed payment schedule. Finn tracks payment milestones and collects its Service Fee separately. Finn does not hold funds in escrow unless explicitly stated.

Section 5

The 5% Service Fee

How the fee works: Finn charges Service Providers a 5% service fee on the value of each completed project milestone. This fee is automatically charged to the payment method on file when a milestone is marked as complete and payment is confirmed.

There is no fee to receive projects, view estimates, or send quotes. The Service Fee is only charged when the Service Provider gets paid by the homeowner.

Homeowners are never charged any fees for using the Platform.

Fee Calculation

The fee is calculated as 5% of the milestone payment amount as agreed between the homeowner and Service Provider. For example, on a $10,000 milestone payment, the service fee is $500.

Auto-Charge Per Milestone

Fees are charged automatically when a project milestone is marked as paid. By creating a Service Provider account and providing a payment method, you authorize Finn to automatically charge the Service Fee as described above. You will receive a receipt for each charge via email and in your Finn dashboard.

Taxes

All fees are subject to applicable taxes (HST/GST) as required by Canadian tax law. Tax amounts will be itemized on your receipts.

Fee Disputes

If you believe a fee was charged in error, contact us at support@finnapp.ca within 30 days. We will review the charge and issue a correction if warranted. The Service Fee is otherwise non-refundable except in cases of platform error.

Section 6

Payment Method on File

Service Providers are required to provide and maintain a valid payment method (credit card or debit card) on file. This payment method will be charged automatically for the Service Fee each time a payment milestone is marked as paid.

Payment processing is handled by Stripe, a PCI-DSS compliant third-party payment processor. Your payment information is stored securely by Stripe and is never stored on Finn's servers. You are responsible for ensuring your payment method is current and valid.

Section 7

Dispute Resolution

Finn tracks all messages, scope changes, payment milestones, and project documentation to provide a clear record. In the event of a dispute between a homeowner and Service Provider:

  1. Both parties should first attempt to resolve the dispute through Finn's messaging system.
  2. Either party may request Finn's assistance in reviewing the documented project history.
  3. Finn may, at its discretion, provide mediation or recommendations based on the documented record.
  4. Finn is not an arbitrator or court and cannot enforce binding decisions. If the dispute cannot be resolved, parties may pursue resolution through applicable legal channels.

Activity conducted outside the Platform — personal phone calls, cash payments, side agreements — cannot be documented or considered by Finn. This is why we strongly recommend keeping all project-related communication on the Platform.

For disputes related to Finn's own services or fees, contact support@finnapp.ca. If the matter cannot be resolved directly, either party may pursue resolution through the courts of Ontario (see Section 20).

Section 8

Communication Policy

To maintain the protections offered by the Platform, all project-related communication between homeowners and Service Providers should occur through Finn's messaging system. Messages sent through the Platform are stored securely and may be reviewed in the event of a dispute.

Finn will never share your messages with third parties except as required to resolve disputes between project parties, or as required by law.

Section 9

AI Estimate Disclaimers

AI-generated estimates are informational tools only and should not be relied upon as the sole basis for financial decisions.

Finn's AI-powered estimate workshop generates estimates based on current market data, material pricing, and labour rates. These estimates are provided for informational purposes only and:

  1. Are not binding quotes, professional appraisals, or engineering assessments.
  2. May differ from actual project costs based on site conditions, hidden issues, material selections, permit requirements, and scope changes.
  3. Should be reviewed and adjusted by qualified Service Providers before forming the basis of any agreement.
  4. Are generated by artificial intelligence and may contain errors or omissions.

Homeowners should obtain quotes from qualified Service Providers and conduct appropriate due diligence before making financial commitments. Service Providers should perform their own assessment before submitting quotes. Finn is not liable for any losses arising from reliance on AI-generated estimates.

Section 10

Service Provider Responsibilities

By creating a Service Provider account, you agree to:

  1. Provide accurate information about your business, qualifications, licenses, and insurance.
  2. Maintain all required licenses and insurance for the duration of any project undertaken through the Platform.
  3. Respond to homeowner inquiries and quote requests in a timely and professional manner.
  4. Provide honest, detailed quotes that accurately represent the scope and cost of proposed work.
  5. Communicate with homeowners through the Platform's messaging system.
  6. Track all payments through Finn's invoicing system and report milestone completions accurately.
  7. Perform work in accordance with applicable building codes, regulations, and professional standards.
  8. Not solicit homeowners to conduct business outside the Platform to avoid the Service Fee.
Section 11

Homeowner Responsibilities

By creating a homeowner account, you agree to:

  1. Provide accurate and complete information about your project, property, and contact details.
  2. Communicate with Service Providers through the Platform's messaging system.
  3. Review quotes carefully and ask clarifying questions before accepting.
  4. Honor the terms of any contract you enter into with a Service Provider.
  5. Make payments according to the agreed payment schedule.
  6. Provide reasonable access to the project site as agreed with the Service Provider.
  7. Not solicit Service Providers to conduct business outside the Platform to avoid platform fees.
Section 12

Prohibited Conduct

You may not:

  1. Circumvent the Platform: Take relationships initiated on Finn off-platform to avoid the Service Fee. If a homeowner and Service Provider are introduced through Finn, all related project work within 12 months is subject to the Service Fee, regardless of where the contract is executed.
  2. Misrepresent identity or qualifications: Create fake accounts, impersonate others, or provide false or misleading information about your business, licensing, or experience.
  3. Harass or abuse: Send threatening, abusive, discriminatory, or inappropriate messages to any user through the Platform.
  4. Spam or solicit: Use the Platform to send unsolicited commercial messages or advertise unrelated services.
  5. Manipulate reviews: Post fake reviews, incentivize reviews, or attempt to suppress legitimate feedback.
  6. Interfere with the Platform: Attempt to access restricted areas, reverse-engineer, scrape, copy, or disrupt the Platform's infrastructure or security features.
  7. Violate laws: Use the Platform for any purpose that violates applicable federal, provincial, or municipal laws or regulations.

Violation of these terms may result in account suspension, termination, and/or pursuit of applicable legal remedies including recovery of avoided fees.

Section 13

Intellectual Property

Finn owns all rights to the Platform, including its design, AI models, algorithms, software, branding, and content. The Platform is protected by Canadian and international intellectual property laws.

Content you upload (photos, drawings, project descriptions, logos) remains yours. By uploading content, you grant Finn a non-exclusive, royalty-free license to use, display, and store that content as necessary to operate the Platform and improve its services.

AI-generated estimates, reports, and summaries produced by Finn are owned by Finn but licensed to you for use in connection with your projects on the Platform. You may not resell, redistribute, or commercially exploit Finn's AI-generated content outside the Platform without written permission.

Section 14

Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Platform, you acknowledge that you have read and understood our Privacy Policy. Key points relevant to these Terms:

  1. Messages sent through the Platform are stored and may be reviewed for dispute resolution.
  2. Project data may be used to improve Finn's AI estimate accuracy in anonymized, aggregated form.
  3. Service Provider profiles may include information from publicly available sources (such as Google Business profiles) until claimed and updated by the Service Provider.
  4. Finn will not sell your personal information to third parties.

We collect and process personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy legislation.

Section 15

SMS & Email Communications (CASL Compliance)

Finn complies with Canada's Anti-Spam Legislation (CASL). We will only send commercial electronic messages (email, SMS) with your express or implied consent as defined by CASL.

Transactional Messages

You will receive transactional communications including project updates, milestone notifications, quote alerts, payment confirmations, and account security notices. These are necessary for the operation of your account and are exempt from CASL consent requirements as they relate to an existing business relationship or ongoing transaction.

Promotional Messages

With your consent, Finn may send promotional communications about new features, tips, or platform updates. You may opt out of promotional messages at any time via your account settings or by following the unsubscribe link in any email.

SMS

By providing your phone number, you consent to receiving SMS messages related to your projects, account verification, and platform notifications. Standard messaging rates may apply. Reply STOP to any SMS to opt out of non-transactional messages.

Service Provider Outreach

Service Providers whose businesses are publicly listed may receive initial outreach from Finn regarding project opportunities. These communications comply with CASL under the conspicuous publication exemption and include opt-out mechanisms.

All commercial messages include clear sender identification, contact information, and a working unsubscribe mechanism. Unsubscribe requests are processed within 10 business days.

Section 16

Limitation of Liability

Finn provides a technology platform to connect homeowners and Service Providers. To the maximum extent permitted by law:

  1. Finn provides the Platform on an "as is" and "as available" basis without warranties of any kind, express or implied.
  2. Finn is not responsible for the quality, safety, legality, or completion of any work performed by Service Providers.
  3. Finn is not responsible for the accuracy of AI-generated estimates.
  4. Finn is not liable for disputes between homeowners and Service Providers.
  5. Finn is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Platform.
  6. Finn's total aggregate liability for any claim arising from use of the Platform shall not exceed the greater of (a) the total fees paid by you to Finn in the 12 months preceding the claim, or (b) $500 CAD.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

Section 17

Indemnification

You agree to indemnify, defend, and hold harmless Finn Technologies Inc., its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

Termination

You may close your account at any time by contacting support@finnapp.ca. Closing your account does not release you from any outstanding fees, obligations, or contractual commitments made through the Platform.

Finn may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the Platform or its users. We will make reasonable efforts to notify you of the reason for any suspension or termination.

Upon termination, your right to use the Platform ceases immediately. Project documentation and message history will be retained for a reasonable period to support any ongoing or potential disputes. Sections 5 (fees owed), 12 (circumvention), 13 (IP), 16 (limitation of liability), 17 (indemnification), and 20 (governing law) survive termination.

Section 19

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you via email or in-platform notification at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

The "Effective" date at the top of this page indicates when these Terms were last revised.

Section 20

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in the Province of Ontario, and you consent to the personal jurisdiction of such courts.
